Products and Services

Thanks for using SQLBackupAndFTP (“Services”). The Services are provided by PRANAS.NET, CORP. (“Pranas.NET”), located at 33 Mandon Ter, Hawthorne, NJ 07506, United States.

By using our Services, you are agreeing to these terms.

SQLBackupAndFTP is downloadable software that performs database backups. In addition to stand-alone functionality, the software is integrated with services on SQLBackupAndFTP.com that allow users to monitor server availability, backup results and more.

Prices, payments and refunds

1. Our prices and billing details are explained on the pricing page.
2. SQLBackupAndFTP is a standalone application. Once you buy a license for a single fee, it never expires and you can use the version you purchased forever. The optional subscription requires a yearly recurring fee.
3. We may change our prices at any time.
4. A valid credit card is required for accounts with a subscription.
5. The Service is billed in advance.
6. If you are not satisfied with our product or service, we will refund the full amount paid within 30 days of purchase.
7. All fees exclude taxes, levies or duties imposed by taxing authorities. You are responsible for their payment, excluding United States federal or state taxes.

Account Terms

1. You must be 18 years or older to use this Service.
2. You are responsible for maintaining the confidentiality of your SQLBackupAndFTP password and account.
3. You are responsible for all Content posted and activity that occurs under your account, including activity by others who have access.
4. You must not misrepresent yourself or assume someone else’s identity while using this Service.
5. You may not use the Service for an illegal or unauthorized purpose or violate laws in your jurisdiction.

Data Protection and Privacy

Our Privacy Policy explains what personal information is collected and how it is used and protected by Pranas.NET. By using our Service, you agree to the collection, use and protection described in that policy.

Copyright and Content Ownership

1. The Service contains software proprietary to Pranas.NET and/or third-party suppliers and licensed to Pranas.NET. Pranas.NET retains ownership of the Service, related content, trademarks, copyrights and all other intellectual property rights.
2. You must not modify, adapt or hack the Service, or falsely imply that another website is associated with it.
3. You may not reverse engineer or reuse publicly visible source code, including JavaScript.
4. The look and feel of the Service is copyright protected. You may not duplicate, copy or reuse its HTML, CSS or visual design elements.
5. You may not reproduce, sell, resell, rent, lease, lend, redistribute, sublease or exploit any portion of the Service, its use, its code or access to it.
6. Content posted by you must comply with U.S. copyright law.
7. We claim no intellectual property rights over material you provide. Your profile and uploaded materials remain yours.
8. We do not pre-screen Content, but may refuse or remove Content at our sole discretion.

No warranties

We do our best to keep our customers happy. However, legally the Service is provided “as is” and “as available,” with all its faults. Pranas.NET disclaims expressed or implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Pranas.NET does not warrant the accuracy, likely results or reliability of use of the Service.

Modifying and Terminating our Services

1. We are constantly changing and improving our Services. We may add or remove functionality and may suspend or stop Services.
2. You can stop using our Services at any time.
3. We may stop providing Services or create new limits at any time.
4. We may change our prices at any time.
5. If we discontinue a Service, where reasonably possible, we will give advance notice and an opportunity to retrieve information from it.

Limitation of liability, Indemnification, Severability, Governing Law

Pranas.NET, its suppliers, distributors, officers, directors and employees will not be responsible for lost profits, revenues or data, financial losses, or indirect, special, consequential, exemplary or punitive damages arising from use of the Service. Total liability for claims under these terms is limited to the amount you paid to use the Service.

You agree to indemnify and hold harmless Pranas.NET, its successors and assigns against liabilities, costs and expenses arising from disputes, legal action or demands related to use of the Services or violation of these terms.

If a provision of these Terms is found invalid, it will be removed without affecting the remaining provisions. These terms are governed by New Jersey law, and disputes are subject to the exclusive jurisdiction of courts in Bergen County, New Jersey.

General Conditions

1. Pranas.NET uses third-party vendors and hosting partners to provide hardware, software, networking, storage and related technology required to run the Service.
2. We may remove content and accounts that we determine are unlawful, offensive, threatening, defamatory, obscene, objectionable or violate intellectual property or these Terms.
3. Failure to enforce a right or provision does not constitute a waiver of that right or provision.
4. These Terms constitute the entire agreement between you and Pranas.NET regarding use of the Service and supersede prior agreements.
5. We may update these terms without notice. New features are subject to these Terms, and continued use after changes constitutes consent.
